SUMMARY:Corporate Governance and Board Effectiveness
DESCRIPTION:The UK Corporate Governance Code\, published by the Financial Reporting Council\, is a key resource upon which to measure best practice governance and Board operations. First issued in 1992 it has been through a number of changes but this year the FRC are undertaking a significant overhaul of the Code. \nThe FRC has completed a consultation process on the changes and the outcome is expected mid-year. This Briefing will detail the key themes of the consultation\, potential changes and actions that Managing Agents should consider and the implications for Boards. \nThe Briefing will address the key changes being proposed by the FRC and the implications for managing agents in terms of: \n     ● risk culture management\n     ● Board effectiveness\, tenure and independence\n     ● the role of the Chairman and NEDs as well as the Company Secretary\n     ● action required to remain compliant with the Code\n     ● the developing expectations of stakeholders. \nThe Briefing will explore the actions required to remain compliant with the Code and regulatory expectations as well as certain specific questions that the Board and Company Secretary should be asking themselves. \nInsights gained from the initial feedback on the consultation from the FRC Chief Executive\, Stephen Haddrill will feature\, as well as comments from the PRA and FCA.  Discussion will focus on the potential regulatory changes that could materialise. \nThe Briefing will consider the developing expectations of stakeholders and consider the question “is the Corporate Governance Code an extension of company law?” \nAttendees will have an opportunity of raising questions in an open forum and to express their views on the benefits and challenges of ensuring Board effectiveness. \nSPEAKERS\n     ● Mark Butterworth\, Managing Director at Condie will lead the Briefing\n     ● The Chairman/NED’s perspective on Board Effectiveness will be provided by Richard Hobbs\, past-Chairman of Barbican Managing Agency\n     ● Steve Fowler\, Governance and Risk consultant\, will provide a brief round-up of the implications for risk management. \nThis event is open to LMA members only.
